Terms of Service
Last updated: 2026-10-11
What you get
Philote collects your AI coding sessions and commits and shows where each project stands. It comes in two parts. The Mac app is bought once and runs on your Mac without a server. Philote Cloud is a monthly subscription with an account: the web dashboard, sync across Macs, sharing with teammates, and AI summaries. These terms cover Cloud. The app is covered by the app terms.
Your content is yours
What you put in belongs to you. We store and process it only as far as running the service requires. You can export everything at any time (wp export).
What you agree to
- Do not access accounts that are not yours.
- Do not try to break the service.
- Do not use it to break the law.
AI costs
Summaries and analysis run on your machine with your own API key. Q&A and embeddings run with the project owner's key and are billed to the owner. Each project can set a monthly token limit.
No warranty
AI summaries and phase estimates can be wrong. A person should check anything that matters. The service is provided as is and may be interrupted.
Plans and payment
Cloud is $10 per seat per month. The first 14 days are a trial, and the subscription includes the Mac app, so you don't buy the app separately. Paddle is the merchant of record and issues receipts and invoices. Card details never pass through our servers. Sales tax or VAT may apply; the checkout shows the final amount.
- You can change or cancel at any time. Cancelling keeps Cloud until the period you paid for ends; then the Cloud features (web dashboard, sync, team sharing, AI summaries) stop. Whether the app you got with the subscription keeps working after that: (to be decided before launch)
- Ending a subscription never deletes data. Subscribe again and it is all there; export (
wp export) keeps working in between. - Refunds follow the Refund Policy — within 14 days of a charge, in full, no questions asked.
- Price changes are announced 30 days before the next charge. Cancel after the notice and you are not charged.
Withdrawal
Cloud is a digital service that starts as soon as you pay, so statutory withdrawal rights may be limited where the law allows (for example Korea's E-Commerce Act, Art. 17(2)5). That is why there is a 14-day trial first, and even so we refund in full within 14 days of a charge. This notice also appears at checkout.
Self-hosted tiers and license keys
The tier that keeps your data in your own Supabase is verified by a license key. A key is for the organisation that paid for it; do not share or resell it. When a key expires that deployment's paid features stop — the data is yours and stays where it is.
Who can use it
Anyone 16 or older (14 in Korea) who can enter a contract. If you sign up on behalf of a company, we take it that you are allowed to. We cannot provide the service to people in sanctioned countries or on sanctions lists — that is the law, not our preference.
How far our liability goes
Plainly: our liability for anything arising from this service is capped at what you paid us in the 12 months before it happened. During a trial that figure is zero.
We are not liable for lost profit, lost time, or other indirect losses that follow from data going missing. But this cap does not apply to our own wilful misconduct or gross negligence, nor to anything the law does not let us limit (personal injury, privacy violations, and so on).
Treat this as an assistive tool. Do not let it be the only place something important lives — export (wp export) always works.
Ending it
You can delete your account at any time. We may block accounts that break these terms.
If we shut the service down we will give at least 90 days' notice by email and keep export working throughout. Any prepaid time left is refunded pro rata. This is written down now because deciding it later is too late.
If we disagree
Write to [email protected] first; that settles most things. If it does not, these terms are governed by the law of (governing law — to be set after incorporation) and disputes go to (courts — to be set after incorporation). Nothing here takes away the consumer rights the law where you live already gives you.
Changes
We announce important changes on screen or by email 30 days before they take effect. Carrying on using the service after the notice means you accept them. If you do not, you can leave before they start and we refund the remaining time.
